w3K LLC (“w3K”, “we”, “us”) is an information technology and security firm. These are w3K’s master terms of service.
What these terms cover
They apply to everything we operate: this website and every other w3K domain and subdomain, the software we build and host, the systems we administer for clients, and the services we deliver on site. Among the software covered are w3K Administrator and its modules (staff directory, account provisioning, patient transport operations and Mattermost administration) along with the other applications and sites we run.
Some products carry their own terms, because a particular service needs to say something specific. Those terms add to this document; they do not replace it. Where a product’s terms are silent, this document governs. Where the two conflict, the product terms win for that product only.
Where w3K and a client have signed a separate written agreement (a statement of work, a managed services contract, a support agreement) that agreement governs and these terms fill any gaps.
Who we contract with
w3K’s services are provided to organisations, not to the public, and there is no consumer sign-up. If you are using something we operate, it is because an organisation that engages w3K arranged it.
That distinction matters throughout: the organisation is our client and holds the commercial relationship, while you may be an employee, a contractor or an end user of what we built for it.
Accounts and access
- Access is granted and withdrawn by the organisation you work for. We act on its instruction.
- Where a system uses single sign-on, you are responsible for the security of the account you sign in with, including keeping two-step verification enabled where your organisation requires it.
- Do not share an account. What an account does is attributed to the person it belongs to, and the audit record is kept accordingly.
- We may suspend access immediately where we reasonably believe an account is compromised, is being used unlawfully, or is putting other users or data at risk. We tell the organisation when we do.
Acceptable use
Do not use anything we operate to break the law, to reach data you have not been granted, to probe or disrupt our systems or the systems they connect to, or to misrepresent who you are. Do not attempt to extract credentials or other people’s personal information beyond what your role allows.
Automated access is permitted only through interfaces we publish, and within any limits we set.
Your organisation’s data
Data entered into our systems belongs to the organisation it concerns. w3K does not sell it, does not use it to train models, and does not use it for advertising. We process it to operate the services and on the organisation’s instruction.
What we collect and why is set out in the w3K privacy policy, which forms part of these terms.
On the end of an engagement, an organisation may request an export of its data. We retain what a legal or contractual obligation requires, and audit records for as long as needed to answer a security or compliance question.
Work we perform
Where we build, deploy, administer or support systems, we do so with reasonable skill and care. Unless a written agreement says otherwise:
- Timelines we discuss are estimates, not commitments.
- Work is delivered against what was agreed in writing; changes to scope are agreed before they are built.
- Security testing, hardening and compliance work is performed only with the client’s written authorisation, and only within the scope that authorisation defines.
Availability
We aim to keep services available and to give notice of planned maintenance, but we do not promise uninterrupted service unless a separate written agreement sets a service level. Features change as systems develop; we will not remove something a client depends on without telling it.
Third-party platforms
Much of what we operate connects to platforms we do not control: Google Workspace, Mattermost, hosting and network providers among them. Those platforms have their own terms, and an outage or change on their side is outside our control. Where we act on a client’s behalf there, we do so within the permissions it has granted us.
Fees
Fees, billing periods and payment terms are set in the agreement or quote between w3K and the client. Where an account is materially overdue we may suspend services after notice, and we will say so before we do.
Intellectual property
w3K retains ownership of the tools, libraries, templates and platform code it brings to an engagement, including w3K Administrator and the components it is built from. A client owns its own data and content, and whatever a written agreement specifically assigns to it. Each side keeps what it already had.
Liability
Services are provided without warranties beyond those that cannot be excluded by law. To the extent the law allows, w3K is not liable for indirect or consequential loss, lost profits, or lost data where a backup or export was available. Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.
Ending an engagement
Either side may end an engagement as the written agreement between us provides, or on reasonable notice where there is none. We will support an orderly handover and provide an export of the client’s data. Obligations that by their nature survive (confidentiality, accrued fees, liability limits) continue after the engagement ends.
Changes to these terms
If we change these terms we will update the date at the top. Changes that materially affect a client will be communicated to it directly rather than left to be discovered here.
Governing law
These terms are governed by the laws of the State of Florida, United States, and the courts of Palm Beach County, Florida have jurisdiction, unless a written agreement with the client says otherwise.
